Planning and coordinating the due diligence procedure is an intense activity nearly always carried out under tight time constraints. This one day programme covers the major issues to be addressed illustrated by examples from case studies which highlight the major areas of risk.

  • Regulatory due diligence : Assessing the strategy and regulatory pathway for the technology
  • IPR due diligence : Assessing the strength of the IP supporting the technology
  • Marketing due diligence : Analysing the sales potential and market forecasts to identify the key drivers in the financial models ahead of the formal negotiation
  • Competitive intelligence : Understanding the risks of competition in R&D and marketing
  • Financial valuation : Developing the financial parameters of the deal payments to accommodate the risks identified during the due diligence exercise
  • Corporate due diligence : the potential risks in change of control
  • Reviewing the possible outcomes : Adjusting the deal structure to accommodate the risk identified during the due diligence procedure
